Representing the interests of a marketing company in a corporate dispute related to the recovery of the actual value of the share in favor of a former member of the company

A former sole member of the company distributed dividends in the amount of 10 million rubles in his favor prior to the sale of the share. Later, almost after the statute of limitations had expired, the former member claimed the actual value of the share for the same amount and interest. The previous distribution of dividends (and, consequently, the decrease in the amount of net assets) was not considered in the claim. As part of the dispute, the firm's lawyers proved that the standard formula for calculating the actual value of the share was inapplicable, due to an abuse of the right on the part of the former member. As a result, about 10 million rubles were saved for the Client.
